By accessing or using this Website, creating an account, submitting information, uploading documents, purchasing services, clicking any acceptance checkbox, completing any intake form, executing any electronic signature, or otherwise interacting with Legal Ease Now, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions (“Terms”), our Privacy Policy, and any additional policies, disclosures, or agreements referenced herein or posted on the Website.

If you do not agree to these Terms, you may not use this Website or purchase any services.

These Terms constitute a legally binding agreement between you and Legal Ease Now LLC. These Terms apply to all customers worldwide, including international customers accessing or using the Website from outside the United States.

1. ELIGIBILITY

By using the Website or purchasing services, you represent and warrant that:

  • you are at least eighteen (18) years old;
  • you have the legal capacity and authority to enter into binding agreements;
  • you are not prohibited from using the Website or services under applicable law;
  • all information you provide is truthful, accurate, current, and complete; and
  • if acting on behalf of a business entity or another individual, you have full authority to act on behalf of such entity or individual and to bind that entity or individual to these Terms.

2. NON-ATTORNEY SERVICE; NO LEGAL ADVICE

Legal Ease Now is a non-attorney document preparation, filing assistance, administrative support, and compliance service company and does not provide legal advice or legal representation. Certain services available through the Website may involve independent third-party licensed attorneys or law firms that advertise or make legal services available through the platform. Such attorneys and law firms are separate from and not affiliated with Legal Ease Now. Any legal services are provided solely by the applicable independent attorney or law firm pursuant to separate attorney-client relationships and not by Legal Ease Now, as further described in these Terms.

Legal Ease Now is not a law firm and does not itself provide legal advice, legal representation, legal opinions, tax advice, accounting advice, financial advice, or investment advice.

No attorney-client relationship is created between you and Legal Ease Now through your use of the Website, communications with Legal Ease Now, purchase of services, or submission of information.

The Website, templates, forms, operating agreements, compliance materials, articles, communications, support responses, and all services provided by Legal Ease Now are provided for general informational and administrative purposes only and are not legal advice and are not a substitute for advice from a licensed attorney, accountant, tax professional, or other qualified advisor. Any forms, templates, operating agreements, or documents provided by Legal Ease Now may not be appropriate for your specific legal, tax, regulatory, operational, ownership, licensing, compliance, or business needs.   • determine foreign qualification obligations;
  • determine payroll, sales tax, VAT, GST, or international tax obligations; or
  • guarantee legal compliance.

You acknowledge and agree that laws, regulations, filing requirements, tax requirements, and government agency procedures frequently change; that government agencies may change processing standards, timelines, requirements, and interpretations without notice; and that you are solely responsible for consulting qualified professionals regarding your specific legal, tax, accounting, regulatory, compliance, and business needs.

3. DESCRIPTION OF SERVICES

Legal Ease Now provides administrative and document preparation services that may include, without limitation:

  • business formation filing assistance;
  • LLC, corporation, and other entity filings;
  • registered agent services;
  • EIN application assistance;
  • annual report and compliance filing assistance;
  • sales tax and resale certificate assistance;
  • access to certain independent third-party attorney-assisted trademark-related services;
  • document templates and operating agreements;
  • compliance reminders; and
  • related administrative support services.

Legal Ease Now reserves the right to modify, suspend, refuse, or discontinue any service at any time without liability; refuse service to any person or entity; cancel or suspend services for suspected fraud, abusive behavior, unlawful activity, sanctions concerns, compliance concerns, chargeback abuse, or misuse of the Website or services; and administratively close inactive files where customers fail to timely provide requested information, approvals, documentation, signatures, or payment. Legal Ease Now further reserves the right to refuse, suspend, or terminate services where necessary or appropriate to comply with applicable anti-money laundering laws, sanctions laws, export control laws, anti-fraud obligations, know-your-customer obligations, Office of Foreign Assets Control (“OFAC”) requirements, or other legal or regulatory compliance requirements.

Closed, inactive, suspended, or abandoned matters may require additional fees to reopen, if reopening is permitted at all. Legal Ease Now reserves the right to permanently close, archive, or delete inactive files after prolonged customer non-responsiveness, without notice and without liability. Customers who fail to respond to communications for a period of ninety (90) days or more may have their files permanently closed, and Legal Ease Now shall have no obligation to resume, restore, or reconstruct any work product associated with permanently closed files.

4. ATTORNEY-ASSISTED SERVICES AND THIRD-PARTY ATTORNEYS

Certain services available through the Website, including certain trademark-related services, are provided solely through independent third-party licensed attorneys or law firms (“Third-Party Attorneys”). Legal Ease Now is not a law firm and does not itself provide legal advice or legal representation. Any legal services provided in connection with attorney-assisted services are provided solely by the applicable Third-Party Attorney and not by Legal Ease Now.

Legal Ease Now does not supervise, direct, control, or assume responsibility for the legal services provided by any Third-Party Attorney. All legal advice, legal analysis, legal opinions, filing decisions, and legal strategies are determined solely by the applicable Third-Party Attorney in the exercise of such attorney’s independent professional judgment. Any attorney-client relationship that may arise exists solely between the customer and the applicable Third-Party Attorney or law firm, and not with Legal Ease Now. Legal Ease Now does not guarantee the quality, outcome, or results of legal services provided by any Third-Party Attorney. Communications with Legal Ease Now personnel are not protected by attorney-client privilege unless expressly communicated directly through an applicable Third-Party Attorney.

Third-Party Attorneys may advertise or make legal services available through the Website or platform. Legal Ease Now may provide administrative, marketing, intake, communication, billing, technical, or other non-legal support services in connection with such services. Legal Ease Now does not recommend, endorse, warrant, or guarantee any particular attorney, law firm, legal strategy, legal outcome, or legal service, and customers are solely responsible for determining whether any Third-Party Attorney or legal service is appropriate for their specific needs.

Legal Ease Now may receive administrative fees, marketing fees, technology fees, or other compensation in connection with attorney-assisted services to the fullest extent permitted by applicable law and professional responsibility rules. Nothing in these Terms or in the relationship between Legal Ease Now and any Third-Party Attorney shall be construed to create a partnership, joint venture, employment relationship, agency relationship, or legal services enterprise between Legal Ease Now and any attorney or law firm.

5. CUSTOMER RESPONSIBILITY FOR INFORMATION

Legal Ease Now prepares documents and submits filings based solely on information provided by customers through intake forms, questionnaires, uploaded documents, emails, text messages, chat communications, or other submissions. Legal Ease Now does not independently verify, audit, validate, supplement, investigate, or correct customer-provided information unless specifically agreed to in writing.

You are solely responsible for:

  • ensuring all submitted information is accurate, complete, current, and truthful;
  • ensuring all tax identification information, passport information, foreign ownership information, beneficial ownership information, and EIN application information is accurate and complete;
  • ensuring all names, addresses, ownership information, member information, tax information, filing details, dates, and contact information are correct;
  • reviewing all draft documents and filings before submission;
  • maintaining and updating accurate contact information with Legal Ease Now and all applicable government agencies, tax authorities, registered agent accounts, and regulatory accounts following completion of services;
  • reviewing all completed filings, government submissions, approvals, certificates, registrations, and account information promptly upon receipt and notifying Legal Ease Now immediately of any errors, discrepancies, or required corrections;
  • ensuring that documents and filings accurately reflect your intentions;
  • determining whether any document or filing is appropriate for your specific business or legal needs;
  • ensuring compliance with all applicable laws and regulations, including federal, state, local, and international requirements;
  • monitoring all applicable government, tax, licensing, compliance, regulatory, and registered agent accounts, portals, notices, correspondence, and communications after services are completed;
  • complying with all beneficial ownership information (BOI) reporting requirements under the Corporate Transparency Act or FinCEN regulations;
  • tracking and complying with all filing deadlines, renewal deadlines, tax obligations, reporting obligations, licensing requirements, and compliance requirements applicable to your business;
  • determining whether any filings, registrations, licenses, permits, foreign qualifications, payroll obligations, sales tax obligations, VAT obligations, GST obligations, customs obligations, import/export obligations, or other international or jurisdiction-specific compliance requirements apply to your activities;
  • all ongoing compliance obligations following the completion of any filing or service, including annual report deadlines, registered agent maintenance, tax filings, licensing renewals, and regulatory requirements applicable in your jurisdiction; and
  • notifying Legal Ease Now immediately of any errors, omissions, changes, inaccuracies, or updated information.

Legal Ease Now does not assume responsibility for your ongoing compliance, tax treatment, accounting obligations, local licensing requirements, foreign compliance requirements, or obligations arising under the laws of any jurisdiction outside the United States. You are solely responsible for ensuring your compliance with all applicable local, national, and international laws and regulations.

Customers are solely responsible for updating and maintaining current and accurate contact information, including names, mailing addresses, email addresses, telephone numbers, and other contact information, with all applicable government agencies, tax authorities, Secretary of State offices, registered agent accounts, sales tax accounts, licensing agencies, Internal Revenue Service accounts, and other governmental or regulatory accounts after filing or account creation is completed. Customers acknowledge that Legal Ease Now may use temporary, administrative, registered agent, email addresses, or service-related contact information during portions of the filing or setup process and that customers are responsible for timely updating all applicable accounts to their own preferred contact information following completion of services.

Legal Ease Now shall not be responsible or liable for undelivered notices, missed notices, missed filings, missed renewal deadlines, missed tax deadlines, penalties, interest, late fees, administrative dissolutions, account closures, loss of good standing, suspended accounts, compliance failures, or other damages arising from a customer’s failure to maintain or update accurate contact information with applicable agencies or accounts.

Legal Ease Now shall not be responsible or liable for inaccurate or incomplete customer information, rejected filings, missed deadlines, penalties, compliance failures, tax consequences, trademark refusals, EIN delays or rejections, business interruptions, or any damages arising from information provided by the customer.

6. CUSTOMER REVIEW OBLIGATION

Customers are solely responsible for reviewing all documents, filings, applications, templates, operating agreements, and related materials before execution, submission, filing, publication, or use. Customer approval of any draft authorizes Legal Ease Now to proceed with filing, submission, delivery, or processing using the approved information.

Failure to review documents, failure to respond to requests, failure to provide requested information, failure to detect errors, or failure to timely communicate corrections shall not create liability for Legal Ease Now.

7. TRADEMARK SERVICES; USPTO FILINGS; OFFICE ACTIONS

Certain trademark-related services available through the Website are provided solely through independent third-party licensed attorneys or law firms and not by Legal Ease Now. Legal Ease Now’s involvement with respect to trademark-related services is limited to administrative, technical, billing, intake, communication, platform, marketing, and other non-legal support services. Legal Ease Now does not provide trademark legal advice, trademark clearance opinions, trademark registrability opinions, legal strategy, trademark prosecution, or legal representation.

Neither Legal Ease Now nor any Third-Party Attorney guarantees trademark approval, registration, availability, registrability, enforceability, validity, non-infringement, or any legal or commercial outcome relating to any trademark matter. Customers acknowledge that trademark applications may be refused, rejected, suspended, opposed, delayed, cancelled, abandoned, or otherwise challenged by the USPTO or third parties and that USPTO examining attorneys exercise independent discretion in reviewing applications.

Trademark law is subjective, fact-specific, continuously evolving, and dependent upon numerous factors outside the control of Legal Ease Now and any participating Third-Party Attorney. Prior registrations, search results, name availability, internet searches, business name approvals, domain availability, social media availability, or preliminary assessments do not guarantee trademark approval or registration.

Trademark searches, preliminary assessments, search reports, or similar informational materials may not identify all potentially conflicting marks, applications, common law uses, foreign registrations, translations, phonetic equivalents, or other legal risks.

USPTO Office Actions, refusals, suspension notices, statements of use, extensions, amendments, revivals, appeals, oppositions, cancellations, and related proceedings frequently require additional work, attorney review, legal analysis, additional filings, or additional legal services. Additional fees shall apply for all post-submission trademark work. Neither Legal Ease Now nor any Third-Party Attorney shall have any obligation to perform additional trademark-related work unless all requested information, documentation, approvals, signatures, and applicable additional fees are timely provided.

Customers are solely responsible for reviewing and approving all trademark-related information, including owner information, filing basis, descriptions, classifications, specimens, and submitted materials prior to filing.

Customers acknowledge that neither Legal Ease Now nor any Third-Party Attorney has any ongoing duty to monitor trademark application status, maintenance deadlines, renewal deadlines, Office Actions, opposition proceedings, cancellations, or other trademark matters unless expressly included within a separately purchased monitoring, maintenance, or renewal service.

Legal Ease Now and any participating Third-Party Attorney reserve the right to administratively close any trademark matter where the customer fails to timely respond to requests for information, approvals, signatures, documentation, or payment. Closed or abandoned matters may be subject to reopening fees if reopening is permitted at all. Customers are solely responsible for monitoring all communications from Legal Ease Now, the USPTO, and any applicable Third-Party Attorney, including monitoring spam and junk mail folders. Legal Ease Now shall not be liable for abandoned applications, missed deadlines, lost rights, or other damages resulting from customer non-responsiveness or failure to monitor communications.

Any applicable Third-Party Attorney reserves the right to decline, limit, withdraw from, or terminate representation or participation in any trademark matter in accordance with applicable law, ethical obligations, professional responsibility rules, court rules, or bar requirements, including where a customer fails to provide requested information, approvals, documentation, signatures, payment, truthful or accurate information, or otherwise fails to cooperate in a timely manner.

No refunds shall be provided for rejected, refused, suspended, opposed, cancelled, withdrawn, terminated, or abandoned trademark applications or matters; USPTO fees; attorney fees; attorney review fees; Office Action responses; post-submission filings; attorney withdrawals or terminated representations; or any additional trademark-related work, legal services, or post-submission legal proceedings.

8. CUSTOMER DOCUMENTS; SENSITIVE INFORMATION; ELECTRONIC TRANSMISSIONS

Customers acknowledge that certain services require the submission, upload, transmission, processing, storage, or sharing of sensitive personal information, including driver’s licenses, passports, government-issued identification, Social Security Numbers (“SSNs”), Individual Taxpayer Identification Numbers (“ITINs”), tax identification numbers, signatures, banking or payment information, and entity ownership information.

By submitting such information, customers consent to Legal Ease Now collecting, transmitting, processing, storing, reviewing, and sharing such information as reasonably necessary to provide requested services, including sharing with government agencies, payment processors, identity verification providers, attorneys, filing companies, registered agent providers, compliance providers, cloud storage providers, software vendors, contractors, and other third-party service providers involved in delivering requested services.

Customers are strongly encouraged not to transmit sensitive personal information, including Social Security Numbers, ITINs, passport information, driver’s licenses, banking information, or other confidential information through unsecured email communications whenever possible. Customers should instead use Legal Ease Now’s secure intake forms, encrypted upload portals,

secure messaging systems, customer portals, or other approved secure transmission methods where available. Customers who choose to transmit sensitive information through email or other unsecured communication methods do so at their own risk.

International Data Transfers: If you access or use the Website from outside the United States, you acknowledge and consent that your personal information may be transferred to, stored in, and processed in the United States or other countries. Such transfers may be subject to laws that offer different levels of data protection than your home country. By using the Website and submitting information, you expressly consent to such international transfers and processing.

Although Legal Ease Now implements commercially reasonable administrative, technical, and organizational safeguards designed to help protect customer information, no method of electronic transmission, storage, processing, cloud hosting, cybersecurity protection, or communication is completely secure or immune from compromise. Customers acknowledge and accept all risks associated with transmitting, uploading, storing, processing, sharing, or communicating information electronically, including through email, online forms, cloud storage platforms, internet-based transmissions, software systems, third-party vendors, and communication networks.

Legal Ease Now shall not be responsible or liable for any unauthorized access, interception, hacking, phishing, malware, ransomware, cybersecurity incident, identity theft, fraud, data breach, loss of data, corruption of data, deletion of data, disclosure of information, system outage, service interruption, transmission failure, third-party platform vulnerability, cloud storage failure, vendor failure, governmental action, or other security-related event beyond Legal Ease Now’s reasonable control.

Customers further acknowledge that Legal Ease Now relies upon third-party platforms, software providers, cloud storage providers, payment processors, communication providers, attorneys, contractors, vendors, and other third parties in connection with providing services and that Legal Ease Now does not control and is not responsible for the security, availability, privacy practices, storage practices, retention practices, or cybersecurity measures of such third parties.

To the fullest extent permitted by law, Legal Ease Now disclaims all liability for any damages, losses, claims, liabilities, identity theft, reputational harm, lost profits, business interruption, consequential damages, special damages, incidental damages, or other harm arising out of or relating to any cybersecurity event, data incident, electronic transmission, or compromise of personal or business information except to the extent caused solely by Legal Ease Now’s gross negligence or willful misconduct.

9. NO GUARANTEE OF RESULTS

Legal Ease Now does not guarantee approval, issuance, maintenance, renewal, preservation, or continued validity of any filing, application, trademark, permit, license, registration, account, or governmental status; issuance of an EIN; any specific processing or completion time; acceptance by any government agency; legal compliance; tax treatment; liability protection; business success; or any legal, tax, financial, commercial, or regulatory outcome. Government agencies retain sole authority regarding approval, rejection, processing times, compliance determinations, and related decisions. Estimated processing times are estimates only and may change without notice.

Legal Ease Now does not guarantee the availability, reservability, approval, or continued availability of any business name, trademark, domain name, DBA, or other identifier. Name availability may change at any time without notice and is determined solely by the applicable government agency, state office, or platform. Customers acknowledge that business names, trademarks, domains, usernames, DBAs, and other identifiers may become unavailable at any time before or after filing due to actions by third parties, government agencies, automated systems, reinstatements, reservations, appeals, delayed database updates, or other circumstances beyond Legal Ease Now’s control. Legal Ease Now shall bear no responsibility or liability for name availability outcomes or conflicts of any kind.

Customers acknowledge that government agencies, tax authorities, courts, regulatory agencies, financial institutions, payment processors, marketplaces, and third parties may independently impose requirements, restrictions, interpretations, suspensions, holds, delays, denials, or compliance obligations beyond Legal Ease Now’s control.

10. EIN APPLICATIONS; IRS PROCESSING DELAYS

Legal Ease Now may assist customers with the preparation and submission of IRS Form SS-4 applications and related EIN application materials. Legal Ease Now is not affiliated with the Internal Revenue Service (“IRS”) and has no authority or control over IRS processing times, procedures, approvals, rejections, verification requirements, delays, correspondence, holds, suspensions, or issuance decisions.

Customers are solely responsible for ensuring that all information submitted in connection with any EIN application is accurate, complete, truthful, current, and consistent with all applicable government records and filings. Legal Ease Now relies entirely upon customer-provided information and has no obligation to independently verify, investigate, audit, or confirm the accuracy or completeness of any information submitted in connection with EIN-related services.

EIN processing times are determined solely by the IRS. Processing times for international applicants, foreign-owned entities, non-U.S. residents, entities without SSNs or ITINs, and certain business structures may take several weeks, several months, or longer. IRS processing times, requirements, procedures, staffing levels, fax processing capabilities, verification procedures, and application review standards may change at any time without notice.

Legal Ease Now cannot guarantee EIN approval, issuance, acceptance, expedited processing, any specific processing timeframe, or the ability to obtain updates from the IRS regarding pending applications. The IRS may reject, suspend, delay, flag, return, require additional verification for, or otherwise decline to process any EIN application for reasons entirely outside Legal Ease Now’s control.

Customers acknowledge that IRS online filing systems, fax systems, mailing systems, phone systems, and other IRS processing methods may experience outages, delays, interruptions, technical failures, lost submissions, busy signals, rejected transmissions, mailing issues, or other operational issues beyond Legal Ease Now’s control.

Legal Ease Now shall not be responsible or liable for delayed EIN issuance, inability to obtain expedited processing, IRS backlog conditions, inability to contact the IRS, lack of IRS updates, IRS verification requirements, application rejection, suspension, additional review, returned applications, lost submissions, processing interruptions, customer-provided errors, or any business, banking, tax, marketplace, licensing, operational, financial, or commercial consequences arising from delayed or unsuccessful EIN processing.

No refunds shall be issued for IRS delays, EIN processing delays, rejected EIN applications, delayed responses, pending applications, IRS system issues, or any EIN-related issue beyond Legal Ease Now’s reasonable control.

11. AUTHORIZATION TO FILE

By submitting information to Legal Ease Now, you authorize Legal Ease Now and its representatives, contractors, affiliates, agents, service providers, independent attorneys, and attorneys to immediately prepare documents using the exact information you provide; prepare, sign, reproduce, submit, transmit, and file documents, applications, forms, registrations, and governmental filings on your behalf where permitted; communicate with government agencies, filing offices, tax authorities, registered agent providers, payment processors, third-party service providers, and attorneys regarding your requested services; transmit documents and information to third-party providers and attorneys where reasonably necessary to perform requested services; use electronic signatures, digital signatures, reproduced signatures, electronic records, and electronic transmissions where permitted; and take actions reasonably necessary to provide requested services.

Customers acknowledge and agree that Legal Ease Now generally prepares and submits filings using the exact information provided by the customer and does not independently verify, validate, audit, investigate, supplement, interpret, or determine the legal or factual accuracy, completeness, appropriateness, or correctness of customer-provided information. Customers remain solely responsible for reviewing and approving all submitted information, filings, applications, and documents and for ensuring that all filings accurately reflect the customer’s intentions.

Customers further acknowledge that certain government agencies, filing offices, Secretary of State systems, tax authorities, postal verification systems, automated filing systems, or third-party platforms may independently standardize, abbreviate, verify, normalize, reject, modify, or automatically alter addresses or other information in order to satisfy system requirements, postal validation requirements, address verification requirements, formatting rules, or filing requirements, and Legal Ease Now shall not be responsible or liable for such changes or any related consequences.

This authorization shall survive submission of filings and shall remain effective for so long as reasonably necessary to complete requested services, communicate regarding pending matters, respond to agency correspondence, process filings, or otherwise administer the requested services.

12. FEES, PAYMENT AUTHORIZATION, AND BILLING

You agree to pay all fees, charges, taxes, filing fees, renewal fees, subscription fees, expedited processing fees, registered agent fees, attorney-assisted service fees, government fees, publication fees, processing fees, shipping fees, courier fees, third-party fees, and all other amounts associated with your purchase or use of services. All prices, fees, and service offerings displayed on the Website are subject to change at any time without notice.

By submitting payment information, placing an order, clicking any purchase button, checking any acknowledgment box, or otherwise authorizing a transaction, you:

  • represent and warrant that you are authorized to use the selected payment method;
  • authorize Legal Ease Now and its payment processors to charge your payment method for all authorized charges, including recurring subscription charges where applicable;
  • acknowledge and agree that services may begin immediately upon purchase or payment authorization;
  • acknowledge that services may begin immediately upon purchase;
  • consent to electronic billing records, invoices, receipts, transaction confirmations, and electronic payment communications;
  • acknowledge that recurring services and subscriptions may automatically renew unless canceled in accordance with applicable cancellation requirements; and
  • agree that you remain responsible for all charges, fees, costs, taxes, renewals, and payment obligations associated with your account or services.

Government filing fees, publication fees, taxes, currency conversion fees, banking fees, payment processor fees, third-party fees, attorney fees, expedited fees, shipping fees, courier fees, and registered agent fees are separate from Legal Ease Now service fees and may change at any time without notice. Legal Ease Now shall have no liability for increases in government fees, agency surcharges, taxes, currency conversion costs, merchant processing costs, or third-party costs occurring before or after the time of your order.

Customers are solely responsible for ensuring that all payment information is current, valid, authorized, and capable of accepting charges. If payment cannot be successfully processed, Legal Ease Now may suspend services, refuse filings, cancel pending work, suspend account access, resign as registered agent where permitted, administratively close files, terminate services, or refuse future services without liability.

Legal Ease Now reserves the right to refuse, limit, suspend, or cancel any order or transaction at any time where fraud, abuse, unauthorized transactions, sanctions concerns, chargeback abuse, inaccurate information, suspicious activity, compliance concerns, or misuse of the Website or services is suspected.

Customers remain responsible for all amounts owed even if services are suspended, terminated, delayed, canceled, rejected, abandoned, withdrawn, or not completed due to customer conduct, customer non-responsiveness, government action, payment failures, third-party issues, or other circumstances beyond Legal Ease Now’s reasonable control.

Reopening fees, reinstatement fees, reactivation fees, and additional service fees may apply for any matter that has been closed, suspended, canceled, abandoned, withdrawn, or administratively closed due to customer non-responsiveness, non-payment, failed payment methods, chargebacks, administrative closure, or customer delay.

To the fullest extent permitted by law, customers agree to reimburse Legal Ease Now for all costs of collection, recovery, dispute resolution, chargeback defense, attorneys’ fees, administrative costs, court costs, arbitration costs, and related expenses incurred in recovering unpaid balances or responding to improper payment disputes or chargebacks.

13. SUBSCRIPTIONS AND AUTOMATIC RENEWALS

Cancellation requests received fewer than forty-five (45) calendar days before the renewal date may not prevent the upcoming renewal charge and will take effect at the following renewal period. No refunds will be issued for late cancellation requests, processed renewals, partially used subscription periods, or services already initiated or performed. Subscription fees are non-refundable and non-prorated once charged or once services, account maintenance, compliance preparation, renewal processing, or related administrative activities have begun.

Customers acknowledge and agree that subscription services require sufficient lead time for ordinary processing, compliance administration, filing preparation, and renewal handling. Unless otherwise expressly agreed in writing by Legal Ease Now, customers must purchase, renew, or reactivate subscription services at least thirty (30) calendar days before the applicable filing deadline, renewal deadline, reporting deadline, tax filing deadline, or compliance due date (collectively, the “Deadline”) in order for standard subscription pricing to apply to the current filing or compliance period and to allow reasonable time for ordinary processing before the applicable Deadline.

For recurring compliance services involving ongoing or periodic filing obligations, including sales tax filing services and similar recurring compliance services, customers acknowledge and agree that subscriptions purchased fewer than thirty (30) calendar days before an applicable Deadline may, in Legal Ease Now’s discretion, be applied beginning with the next filing, reporting, renewal, or compliance period unless the customer expressly requests current-period filing assistance in writing and Legal Ease Now agrees to accept the matter for expedited or rush processing, in which case additional rush processing fees, expedited fees, administrative fees, or modified pricing may apply, and customer agrees to pay all applicable additional fees associated with expedited processing

For annual filings, annual renewals, annual report filings, and similar annual compliance matters with fixed yearly deadlines, subscriptions purchased fewer than thirty (30) calendar days before the applicable Deadline may still be processed for the current filing period; however, expedited processing fees, rush fees, additional administrative fees, or modified processing timelines may apply, including a minimum expedited or rush processing fee of One Hundred Dollars ($100.00) or more where applicable based on filing timelines, workload, processing requirements, or other operational considerations, and customer agrees to pay all applicable additional fees associated with expedited or rush processing.

Legal Ease Now reserves the right to determine whether sufficient time remains to complete any filing, renewal, reinstatement, report, or compliance matter before an applicable Deadline and does not guarantee timely completion of matters submitted fewer than thirty (30) calendar days before the applicable Deadline. Customers acknowledge and agree that subscription services are administrative service arrangements and not guarantees of filing completion, filing acceptance, filing priority, processing speed, government approval, or Deadline satisfaction. Legal Ease Now further does not guarantee acceptance, approval, processing, or completion by any government agency before any applicable Deadline, particularly during periods of elevated filing volume, government agency backlog conditions, system slowdowns, website outages, technical failures, overloaded filing portals, maintenance periods, cybersecurity incidents, or other disruptions affecting government agencies, third-party providers, payment processors, or electronic filing systems.

Legal Ease Now shall not be liable for any penalties, late fees, missed filings, loss of good standing, interest, tax liabilities, rejected filings, processing delays, or other consequences arising from services purchased fewer than thirty (30) calendar days before the applicable Deadline or from outages, delays, failures, disruptions, or overload conditions affecting government agencies, filing portals, or third-party systems. Legal Ease Now further reserves the right, in its sole discretion, to modify the effective date, start date, filing period, or applicable subscription period for any subscription purchase where insufficient time remains to complete the requested work before the applicable Deadline. Customers acknowledge and agree that no refund, credit, prorated adjustment, or retroactive application shall be provided where a subscription is applied to a future filing, reporting, renewal, or compliance period pursuant to this Section.

Furthermore, to facilitate renewal administration, filing preparation, compliance processing, workload management, and advance filing coordination for active subscriptions, Legal Ease Now may establish, modify, accelerate, or adjust subscription renewal dates, billing dates, and related processing schedules to occur before applicable filing deadlines, typically thirty (30) to forty-five (45) days before such Deadlines. Customers expressly acknowledge and agree that Legal Ease Now may charge renewal fees, begin renewal-related work, initiate filing preparation, advance state fees, conduct compliance processing, perform administrative processing, maintain accounts, provide customer support, or conduct internal workflow processing before the applicable renewal date, billing date, or Deadline where reasonably necessary to facilitate timely processing, renewal coordination, workload management, compliance administration, operational efficiency, or subscription administration.

Customers further acknowledge and agree that subscription billing dates, renewal dates, processing schedules, and service periods may be modified from original purchase dates or prior billing cycles in order to accommodate filing deadlines, government processing timelines, workload management, operational requirements, compliance administration, or renewal processing needs.

You are solely responsible for monitoring renewal dates, subscription periods, filing Deadlines, maintaining accurate billing information, maintaining a valid payment method, and ensuring that subscription-related communications are received. Customers acknowledge that Legal Ease Now may require additional information, approvals, signatures, documentation, payment confirmation, identity verification, or customer responses before work can proceed and that delays in providing such items may impact filing timelines, processing timelines, or eligibility for standard subscription pricing. Any renewal reminders, billing reminders, expiration notices, compliance notices, courtesy notices, or other communications provided by Legal Ease Now are provided solely as a courtesy and do not create any obligation by Legal Ease Now to provide ongoing reminders, monitor customer compliance obligations, or ensure timely customer filings.

Failure to maintain valid payment information may result in suspension, cancellation, resignation of registered agent services where applicable, missed filings, penalties, or loss of good standing. Legal Ease Now shall not be liable for any consequences arising from payment failure due to invalid, expired, or declined payment methods. Legal Ease Now reserves the right to resign, withdraw, or terminate registered agent services in accordance with applicable law where subscription fees remain unpaid, payment methods fail, accounts become delinquent, services are terminated, or customers otherwise fail to maintain active registered agent service in good standing. Customers remain solely responsible for all renewal obligations, compliance obligations, filing obligations, and associated fees regardless of whether automatic billing is successful.

If automatic billing fails, payment methods are declined, subscription charges are reversed, or customers attempt to cancel services after applicable cancellation deadlines or after renewal-related work has begun, Legal Ease Now reserves the right to pursue collection of all outstanding subscription fees, renewal fees, state fees, administrative fees, chargeback fees, collection costs, attorneys’ fees, interest, and other amounts permitted by applicable law. Legal Ease Now further reserves the right to suspend services, terminate services, refuse future services, resign as registered agent where permitted, withhold filings or documents where permitted by law, and pursue all available legal or equitable remedies relating to unpaid balances or delinquent accounts.

Customers authorize Legal Ease Now to update payment methods using account updater services, retry declined transactions, and process outstanding authorized charges associated with active or delinquent subscriptions where permitted by applicable law and payment processor rules.

Failure by Legal Ease Now to immediately suspend services, pursue collections, resign as registered agent, enforce any payment obligation, or exercise any other right or remedy under these Terms shall not constitute a waiver of any rights or remedies available to Legal Ease Now.

For international customers: Subscription charges will be processed in U.S. dollars. You are responsible for any currency conversion fees, foreign transaction fees, or bank charges imposed by your financial institution. Legal Ease Now is not responsible for fluctuations in exchange rates or additional charges imposed by your bank or payment provider.

14. FREE PERIODS; PROMOTIONAL OFFERS; INTRODUCTORY PRICING           

Certain subscription services may be offered with promotional pricing, introductory pricing, discounted pricing, delayed billing periods, waived fees, free trial periods, free service periods, or other promotional offers (collectively, “Promotional Periods”). By enrolling in any subscription service that includes a Promotional Period, you expressly authorize Legal Ease Now and its payment processors to automatically charge your payment method at the applicable recurring subscription rate in effect at the time the Promotional Period expires unless you cancel in writing at least forty-five (45) calendar days before the expiration of the applicable Promotional Period.

You acknowledge and agree that Promotional Periods may vary in duration and may apply to different services, subscription terms, billing cycles, or promotional campaigns. Legal Ease Now reserves the right to modify, limit, suspend, terminate, or revoke Promotional Period offers at any time to the fullest extent permitted by law.

You may not receive a separate notice that a Promotional Period is ending or that recurring charges will begin. It is your sole responsibility to monitor the expiration of any Promotional Period and to submit a timely cancellation request if you do not wish to continue the subscription service.

Failure to cancel at least forty-five (45) calendar days before the expiration of the applicable Promotional Period may result in automatic enrollment into the applicable paid subscription period and automatic billing for the applicable renewal term. No refunds will be issued for charges arising from failure to timely cancel following any Promotional Period.

15. ALL SALES FINAL; NO REFUNDS; CHARGEBACKS  

ALL SALES ARE FINAL AND NON-REFUNDABLE.

Due to the nature of digital products, customized document preparation services, filing services, compliance services, administrative work, attorney coordination, research, processing time, government submissions, instant digital access, and third-party expenses incurred immediately upon purchase, Legal Ease Now does not provide refunds, returns, exchanges, credits, or cancellations once an order has been placed.

 

NO REFUNDS SHALL BE PROVIDED FOR:

  • government filing fees;
  • state or federal fees;
  • publication fees;
  • expedited processing fees;
  • registered agent fees;
  • subscription renewals;
  • annual report services;
  • compliance services;
  • EIN application services;
  • delayed or rejected EIN processing;
  • trademark application services;
  • attorney-assisted services;
  • LLC or corporation formation services;
  • resale certificate or sales tax registration services;
  • operating agreements or custom documents;
  • downloadable templates or digital products;
  • consultations;
  • partially completed or completed work;
  • rejected, delayed, or abandoned filings or applications; or
  • delays caused by government agencies, attorneys, payment processors, or third parties.

Customers acknowledge and agree that services frequently begin immediately after purchase; that Legal Ease Now often incurs administrative, labor, software, filing preparation, research, customer support, and third-party costs immediately upon order placement; that filings and applications are frequently customized using customer-provided information; and that completed and partially completed work retains value even if a filing has not yet been submitted.

By completing a purchase, the customer expressly acknowledges and agrees that the transaction is authorized; that the customer requested the purchased services; that the customer authorized Legal Ease Now to begin work immediately; that the services are customized, administrative, and digital in nature; and that the customer waives any right to reverse or dispute charges solely because services are digital, administrative, partially completed, delayed by third parties, or non-refundable under these Terms.

Chargeback Policy and Dispute Resolution  

Customer expressly acknowledges and agrees that Legal Ease Now may begin administrative work, intake review, document preparation, account setup, filing preparation, attorney coordination, compliance processing, research, drafting, customer support, and related internal processing immediately upon purchase, including before all customer information or signatures are received. Work is deemed commenced as of the date and time of purchase confirmation, regardless of the stage of completion of any deliverable. Customers acknowledge that administrative work, intake review, internal processing, account setup, compliance review, and service preparation may constitute valuable and compensable services even where a filing has not yet been submitted to a government agency.

Before initiating any payment dispute or chargeback with your bank, credit card issuer, or payment processor, you agree to first contact Legal Ease Now directly at [email protected] and provide Legal Ease Now a reasonable opportunity of not less than fifteen (15) business days to resolve your concern.

Improper, fraudulent, or bad-faith chargebacks, payment reversals, or payment disputes constitute a material breach of these Terms and may result in:

  • immediate account suspension or termination;
  • cancellation of pending work without refund;
  • refusal of future services;
  • submission of evidence to payment processors, banks, and financial institutions;
  • reporting to fraud prevention databases and merchant monitoring systems;
  • collections activity;
  • civil legal action;
  • arbitration proceedings; and
  • recovery of attorneys’ fees, arbitration fees, administrative costs, collection costs, chargeback fees, and related expenses where permitted by law.

Legal Ease Now reserves the right to provide payment processors, banks, arbitration providers, law enforcement, and fraud prevention agencies with all relevant records relating to disputed transactions, including signed acknowledgments, IP addresses, device information, intake forms, uploaded documents, communications, invoices, timestamps, usage history, proof of work performed, merchant processor records, filing confirmations, customer approvals, and transaction records.

International Customers: If you initiate a chargeback or payment dispute through a foreign bank, credit card issuer, or international payment network, Legal Ease Now reserves all rights described in this section to the fullest extent permitted under applicable law. You acknowledge that initiating a chargeback where services have been rendered may constitute fraud or breach of contract and that Legal Ease Now may pursue all available legal remedies in any applicable jurisdiction.

16. GOVERNMENT FILINGS AND PUBLIC RECORDS

Certain filings, applications, registrations, reports, and submissions made by or through Legal Ease Now may become public record upon filing with government agencies. Information submitted to government agencies may become publicly searchable, indexed by search engines, copied, scraped, archived, redistributed, republished, or commercially reproduced by third parties, data brokers, commercial databases, archival services, artificial intelligence systems, or other public or private entities and may be permanently retained by government agencies or third-party databases.

Customers acknowledge that certain government agencies may require disclosure of names, addresses, ownership information, registered agent information, mailing addresses, business addresses, or other personal or business information as part of applicable filing requirements. Customers are solely responsible for determining what information they choose to submit in connection with any filing or service.

Legal Ease Now does not control and shall not be responsible or liable for how government agencies, search engines, data brokers, commercial databases, archival services, artificial intelligence systems, or third parties publish, maintain, distribute, reproduce, scrape, store, process, remove, delete, or use public-record information once submitted. Legal Ease Now does not guarantee the privacy, confidentiality, removal, suppression, or deletion of any information that becomes part of the public record.

17. ACCOUNT SECURITY

You are solely responsible for maintaining the confidentiality and security of your account credentials, passwords, authentication methods, devices, email accounts, and login information and for all activity occurring under your account or through your credentials. You agree not to share your login credentials with unauthorized persons and to maintain appropriate security measures for all devices, networks, and email accounts used in connection with the Website or services.

You agree to immediately notify Legal Ease Now of any suspected unauthorized access, compromised credentials, fraudulent activity, security breach, or unauthorized use of your account. Legal Ease Now may rely upon any instructions, approvals, submissions, communications, or actions taken through your account, email address, portal, or authenticated systems.

Legal Ease Now shall not be responsible or liable for unauthorized account activity, fraudulent activity, identity theft, data loss, altered filings, unauthorized submissions, intercepted communications, or other damages arising from your failure to maintain account security, secure devices, secure networks, secure email access, or confidential credentials.

18. INTELLECTUAL PROPERTY

All Website content, branding, logos, graphics, software, workflows, forms, templates, operating agreements, text, layouts, designs, compilations, databases, customer portals, downloadable materials, digital products, written materials, audiovisual materials, and other content or materials made available through the Website or services are owned by or licensed to Legal Ease Now and are protected by intellectual property, copyright, trademark, trade secret, unfair competition, and other applicable laws.

Subject to these Terms, Legal Ease Now grants customers a limited, revocable, non-exclusive, non-transferable license to access and use the Website and purchased materials solely for the customer’s own internal business or personal use in connection with the purchased services. 

Except as expressly authorized in writing by Legal Ease Now, customers may not reproduce, distribute, publish, display, modify, scrape, download, copy, transmit, reverse engineer, frame, mirror, resell, sublicense, commercially exploit, train artificial intelligence systems using, create derivative works from, or otherwise use Website content or materials for commercial, competitive, automated, or public purposes.

Unauthorized use of Legal Ease Now intellectual property may result in immediate termination of access, suspension of services, and legal action.

19. THIRD-PARTY SERVICES

Legal Ease Now may utilize or make available third-party providers, platforms, vendors, systems, contractors, attorneys, government portals, software providers, payment processors, filing companies, registered agent providers, delivery services, communication providers, cloud hosting providers, identity verification providers, compliance vendors, and other third-party services in connection with the Website or services.

Legal Ease Now does not own or control third-party providers and does not guarantee the availability, performance, accuracy, security, reliability, legality, compliance, timeliness, suitability, or continued operation of any third-party service, platform, attorney, vendor, or government agency.

Legal Ease Now shall not be responsible or liable for any acts, omissions, delays, outages, rejections, denials, suspensions, interruptions, inaccuracies, data loss, system failures, processing delays, policy changes, fee changes, security incidents, attorney conduct, governmental actions, filing failures, or other acts or failures of third parties beyond Legal Ease Now’s reasonable control.

Your use of third-party services may be subject to separate terms, privacy policies, disclosures, consent requirements, or contractual obligations imposed by the applicable third party.

20. DISCLAIMER OF WARRANTIES

THE WEBSITE, SERVICES, CONTENT, FORMS, DOCUMENTS, TEMPLATES, SOFTWARE, DIGITAL PRODUCTS, COMMUNICATIONS, AND MATERIALS ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

 TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGAL EASE NOW DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, QUALITY, PERFORMANCE, LEGAL COMPLIANCE, OR RESULTS.

 LEGAL EASE NOW DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, TIMELY, OR FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS; THAT UPTIME WILL MEET ANY SPECIFIC STANDARD, SERVICE LEVEL, OR EXPECTATION; THAT COMMUNICATIONS SENT THROUGH THE WEBSITE, EMAIL, TEXT MESSAGE, CUSTOMER PORTALS, OR THIRD-PARTY PLATFORMS WILL BE RECEIVED, DELIVERED, VIEWED, OR RESPONDED TO; THAT THIRD-PARTY SYSTEMS, SOFTWARE, GOVERNMENT PORTALS, PAYMENT PROCESSORS, CLOUD STORAGE PROVIDERS, ATTORNEYS, OR SERVICE PROVIDERS WILL FUNCTION PROPERLY OR WITHOUT INTERRUPTION; OR THAT ANY TEMPLATE, FORM, DOCUMENT, FILING, OPERATING AGREEMENT, COMPLIANCE MATERIAL, OR SERVICE WILL SATISFY THE LEGAL, REGULATORY, TAX, LICENSING, OPERATIONAL, OR COMPLIANCE REQUIREMENTS OF ANY PARTICULAR JURISDICTION OR CUSTOMER SITUATION.

 LEGAL EASE NOW FURTHER DISCLAIMS ANY WARRANTY THAT ANY SERVICE, FILING, APPLICATION, REGISTRATION, TEMPLATE, OR DOCUMENT WILL RESULT IN APPROVAL, ACCEPTANCE, COMPLIANCE, LIABILITY PROTECTION, TAX BENEFITS, BUSINESS SUCCESS, OR ANY PARTICULAR LEGAL, FINANCIAL, COMMERCIAL, OR REGULATORY OUTCOME.

 CUSTOMERS ACKNOWLEDGE THAT LAWS, REGULATIONS, GOVERNMENT REQUIREMENTS, FILING STANDARDS, TAX RULES, COMPLIANCE OBLIGATIONS, AND AGENCY PROCEDURES MAY CHANGE AT ANY TIME WITHOUT NOTICE AND THAT INFORMATION, FORMS, TEMPLATES, OR MATERIALS THAT WERE ACCURATE OR COMPLIANT AT ONE TIME MAY BECOME OUTDATED, INCOMPLETE, OR NONCOMPLIANT.

 

21. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGAL EASE NOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE WEBSITE OR SERVICES, INCLUDING WITHOUT LIMITATION

  • lost profits or lost business opportunities;
  • tax liabilities, penalties, or obligations;
  • business interruption or inability to conduct business;
  • government penalties, fines, or enforcement actions;
  • data loss, corruption, or unauthorized access to data;
  • reputational harm or diminution of goodwill;
  • loss of goodwill or anticipated savings;
  • indirect or consequential losses of any kind;
  • any damages resulting from delayed EIN issuance, trademark refusals, attorney actions or omissions, or delays caused by third-party providers;
  • delayed, rejected, suspended, abandoned, or unsuccessful filings, applications, registrations, EIN applications, trademark matters, or government submissions;
  • delayed EIN issuance, IRS processing delays, trademark refusals, Office Actions, attorney actions or omissions, government agency actions, third-party platform failures, or delays caused by third-party providers;
  • customer errors, inaccurate information, customer non-responsiveness, missed communications, missed deadlines, payment failures, or compliance failures; or
  • any indirect, speculative, consequential, incidental, or commercially related losses of any kind.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGAL EASE NOW’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ANY CLAIM, DISPUTE, TRANSACTION, SERVICE, FILING, SUBSCRIPTION, PURCHASE, OR SERIES OF RELATED CLAIMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO LEGAL EASE NOW FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

These limitations apply to the fullest extent permitted under applicable law, including applicable consumer protection laws. Nothing in these Terms excludes or limits liability for death, personal injury, or fraud to the extent such limitation is prohibited by applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGAL EASE NOW AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SERVICE PROVIDERS, SOFTWARE PROVIDERS, PAYMENT PROCESSORS, REGISTERED AGENT PROVIDERS, ATTORNEYS, INDEPENDENT AND THIRD-PARTY ATTORNEYS, AND VENDORS SHALL NOT BE LIABLE FOR ANY CLAIM, CAUSE OF ACTION, DEMAND, DISPUTE, ARBITRATION, OR PROCEEDING ARISING OUT OF OR RELATING TO THE WEBSITE, SERVICES, PURCHASES, FILINGS, SUBSCRIPTIONS, OR THESE TERMS MUST BE COMMENCED WITHIN ONE HUNDRED TWENTY (120) DAYS AFTER THE EVENT GIVING RISE TO THE CLAIM OCCURRED. ANY CLAIM NOT COMMENCED WITHIN SUCH PERIOD SHALL BE PERMANENTLY BARRED.

THE LIMITATIONS, DISCLAIMERS, AND LIABILITY RESTRICTIONS CONTAINED IN THESE TERMS FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES AND APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE, STATUTE, EQUITY, OR OTHERWISE.

22. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Legal Ease Now and its owners, members, managers, employees, contractors, affiliates, agents, licensors, software providers, payment processors, registered agent providers, independent attorneys, attorneys, vendors, service providers, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, investigations, proceedings, liabilities, damages, losses, fines, penalties, judgments, settlements, taxes, interest, costs, expenses, and attorneys’ fees arising out of or relating to your use of the Website, services, subscriptions, filings, attorney-assisted services, or purchased products; any information, documents, data, signatures, instructions, approvals, communications, or materials submitted, uploaded, transmitted, or provided by you; your violation of these Terms or any applicable law, regulation, governmental requirement, or third-party right; your misuse of documents, templates, filings, operating agreements, compliance materials, or services provided by Legal Ease Now; any inaccurate, incomplete, misleading, fraudulent, unlawful, or unauthorized information provided by you; any tax obligations, compliance obligations, reporting obligations, licensing obligations, beneficial ownership reporting obligations, or regulatory obligations applicable to your business or activities; any governmental investigation, audit, enforcement action, inquiry, subpoena, penalty, or proceeding relating to your business, filings, activities, or submitted information; any dispute between you and any third party, including customers, business partners, governmental agencies, tax authorities, attorneys, contractors, vendors, payment processors, marketplaces, or financial institutions; any allegation that information, content, branding, trademarks, names, logos, or materials submitted or used by you infringe, violate, misappropriate, dilute, or otherwise violate the rights of any third party; or any improper, fraudulent, unauthorized, abusive, or bad-faith payment dispute, chargeback, payment reversal, or fraud claim initiated by you or on your behalf.

Legal Ease Now reserves the right, at your expense and to the fullest extent permitted by law, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully in the defense of such matters. You may not settle any indemnified matter without Legal Ease Now’s prior written consent.

The obligations contained in this Section shall survive termination of these Terms, completion of services, cancellation of services, account closure, and resolution of any transaction or dispute.

23. FORCE MAJEURE

Legal Ease Now shall not be responsible or liable for any delay, interruption, suspension, degradation, failure, or inability to perform services arising out of or relating to causes beyond Legal Ease Now’s reasonable control, including acts of God; natural disasters; hurricanes; floods; fires; earthquakes; extreme weather events; pandemics; epidemics; public health emergencies; labor shortages; strikes; supply chain disruptions; utility failures; internet outages; telecommunications failures; cloud hosting failures; software failures; cybersecurity incidents; ransomware attacks; data center outages; artificial intelligence system failures; payment processor disruptions; banking disruptions; third-party vendor failures; registered agent failures; government shutdowns; government actions; changes in law, regulation, policy, filing requirements, or agency procedures; sanctions; export restrictions; war; terrorism; civil unrest; civil disturbances; embargoes; transportation disruptions; postal delays; IRS, USPTO, FinCEN, Secretary of State, or other governmental agency delays, outages, rejections, or backlogs; inability to obtain necessary services, materials, technology, approvals, or labor; or any other cause beyond Legal Ease Now’s reasonable control whether similar or dissimilar to the foregoing.

During any force majeure event, Legal Ease Now’s obligations shall be suspended to the extent reasonably affected by the event, and all applicable deadlines, processing estimates, turnaround times, and performance obligations shall be automatically extended for the duration of the disruption and any reasonable recovery period thereafter. Legal Ease Now shall have no obligation to provide refunds, credits, compensation, or substitute services for delays, interruptions, outages, suspensions, or failures caused by force majeure events.

24. ELECTRONIC COMMUNICATIONS AND SIGNATURES

You consent to receive all communications from Legal Ease Now electronically, including via email, Website notifications, text message, or online account portal. Customers are solely responsible for maintaining current and accurate email addresses, telephone numbers, mailing addresses, and billing information with Legal Ease Now at all times. You are responsible for retaining copies of all electronic communications, agreements, invoices, notices, filings, and records provided by Legal Ease Now. Failure to maintain current contact information may result in missed Office Actions, renewal notices, registered agent notices, annual report deadlines, delinquency notices, and compliance obligations, for which Legal Ease Now shall bear no responsibility or liability. You are responsible for monitoring all incoming communications, including checking spam and junk mail folders.

Legal Ease Now shall not be responsible for communications that are not received due to spam filters, email blocking, incorrect contact information on file, inbox delivery failures, or any other failure of electronic communications systems.

You agree that electronic signatures, electronic acceptances, checkbox confirmations, intake form submissions, and online authorizations constitute valid and binding signatures and agreements to the same extent as original handwritten signatures under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), the Uniform Electronic Transactions Act (UETA), and applicable international equivalents.

All intake forms completed by you, purchase confirmations, checkbox agreements, and electronic acceptances constitute binding acknowledgments of these Terms and your authorization for Legal Ease Now to perform the requested services. You acknowledge and agree that Legal Ease Now may maintain electronic records of purchases, account activity, intake forms, uploaded documents, signatures, IP addresses, timestamps, device information, communications, payment activity, and related transactional records, and that such records shall be admissible in any legal proceeding, arbitration, payment dispute, or administrative proceeding to the fullest extent permitted by applicable law.

25. DISPUTE RESOLUTION; BINDING ARBITRATION

Any dispute arising out of or relating to these Terms, the Website, or any services shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable consumer arbitration rules.

The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, enforceability, applicability, formation, unconscionability, arbitrability, or scope of this arbitration provision and these Terms.

YOU WAIVE: THE RIGHT TO A JURY TRIAL; THE RIGHT TO PARTICIPATE IN A CLASS ACTION; AND THE RIGHT TO PARTICIPATE IN CLASS OR REPRESENTATIVE ARBITRATION.

Arbitration shall occur in Wyoming unless otherwise required by applicable law. Arbitration shall be conducted on an individual basis only and not on a consolidated, representative, collective, mass, coordinated, or class basis. Legal Ease Now may pursue qualifying claims in small claims court in lieu of arbitration.

International Customers: You agree that disputes shall be resolved in accordance with this Section. You consent to the jurisdiction of Wyoming for purposes of enforcing arbitration awards, obtaining injunctive relief, or resolving any matters permitted to proceed in court under these Terms, and agree to arbitrate disputes on an individual basis under AAA rules notwithstanding any international treaty, convention, or local law that might otherwise apply. Nothing in this Section limits either party’s right to seek emergency injunctive relief from a court of competent jurisdiction.

Survival: The arbitration provisions, class action waiver, and jury trial waiver contained in this Section shall survive the termination or expiration of these Terms and any customer relationship with Legal Ease Now.

26. GOVERNING LAW

These Terms shall be governed by and construed under the laws of the State of Wyoming, without regard to conflict of law principles or rules that would result in the application of the laws of another jurisdiction. For international customers, you agree that Wyoming law governs these Terms to the fullest extent permitted under applicable law.

To the fullest extent permitted by law, you expressly consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Wyoming, United States of America, for any matter permitted to proceed in court under these Terms, including enforcement of arbitration awards, injunctive relief proceedings, collection actions, intellectual property disputes, chargeback-related proceedings, or other non-arbitrable matters.

You waive any objection based upon lack of personal jurisdiction, improper venue, forum non conveniens, inconvenience of forum, or similar doctrines.

For international customers, you expressly consent to service of process, legal notices, arbitration notices, subpoenas, demands, court filings, and other legal communications by electronic mail, customer portal notification, certified mail, courier service, or other commercially reasonable means using the contact information associated with your account or purchase records. You waive any requirement for personal service, consular service, Hague Convention procedures, or other formal methods of international service of process to the fullest extent permitted by applicable law.

27. INTERNATIONAL USERS

Legal Ease Now operates from the United States and provides U.S.-focused filing and administrative services. If you access the Website or purchase services from outside the United States, you acknowledge that:

  • your information may be transferred to and processed in the United States;
  • U.S. data protection laws may differ from those of your home country;
  • you are responsible for ensuring your use of the Website complies with all local laws applicable to you;
  • Legal Ease Now does not represent that services comply with the laws of any jurisdiction outside the United States;
  • government filings, registered agent services, trademark services, and EIN services are U.S.-specific services and may have limited or no applicability outside the United States; and
  • you assume sole responsibility for determining the applicability and legality of services in your jurisdiction.

International customers are strongly encouraged to consult with a local attorney or qualified professional regarding the legal, regulatory, and tax implications of forming or operating a U.S. business entity from outside the United States.

You further acknowledge that Legal Ease Now makes no representation that the Website or services are appropriate, lawful, available, or compliant for use in any jurisdiction outside the United States.

28. MODIFICATIONS TO TERMS

Legal Ease Now reserves the right to modify these Terms at any time without prior notice. Updated Terms become effective immediately upon posting to the Website. Legal Ease Now may provide updated Terms through Website posting, customer portals, email communications, account notices, or other electronic means. Continued use of the Website or services after updated Terms are posted constitutes acceptance of the revised Terms. It is your responsibility to periodically review these Terms for changes.

29. NO FIDUCIARY RELATIONSHIP; INDEPENDENT CONTRACTORS

Nothing in these Terms or in the services provided by Legal Ease Now shall create any fiduciary, partnership, agency, joint venture, franchise, or employment relationship between Legal Ease Now and any customer. Legal Ease Now is an independent contractor, not a fiduciary, trustee, guardian, monitor, compliance officer, or ongoing advisor of any kind. Legal Ease Now assumes no duty to monitor, track, renew, maintain, update, or take any action with respect to any filing, entity, trademark, or compliance obligation after the specific ordered service has been completed, unless expressly agreed otherwise in a separate written agreement signed by Legal Ease Now. No ongoing course of dealing, communications, reminders, assistance, or prior services shall create any continuing duty or fiduciary obligation by Legal Ease Now.

Customers acknowledge that Legal Ease Now does not provide ongoing legal monitoring, compliance monitoring, deadline monitoring, trademark monitoring, tax monitoring, regulatory supervision, renewal tracking, or similar ongoing services unless expressly included within a separately purchased subscription, monitoring, maintenance, or renewal service offered by Legal Ease Now. Customers may not rely on Legal Ease Now as a substitute for qualified legal, tax, accounting, or compliance counsel.

30. ENTIRE AGREEMENT; SEVERABILITY; WAIVER

These Terms, together with the Privacy Policy and any other policies, disclosures, or agreements referenced herein or incorporated by reference, constitute the entire agreement between you and Legal Ease Now with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and communications, whether written or oral.

You acknowledge and agree that you are not relying upon any oral statements, marketing materials, estimates, projections, examples, informal communications, prior representations, or statements not expressly contained in these Terms when purchasing services from Legal Ease Now.

Headings are provided solely for convenience and shall not affect interpretation of these Terms.

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall continue in full force and effect.

No waiver by Legal Ease Now of any breach or default under these Terms shall be deemed to be a waiver of any preceding or subsequent breach or default. Legal Ease Now’s failure to enforce any provision of these Terms shall not constitute a waiver of Legal Ease Now’s rights under such provision.
